Terms of Service
These Terms of Service (“Terms”) are an agreement between you and Acrebase, Inc. d/b/a Plango (“Plango,” “we,” “us,” or “our”). They cover the Plango software, including our Mac app and any other apps, components, models, and updates we provide (the “Software”), the installplango.com website, your Plango account, and any related services we offer (together, the “Services”).
By creating an account, checking a box or clicking a button to accept these Terms, or installing or using the Services, you agree to these Terms. Our Privacy Policy and Refund Policy are part of these Terms. If you do not agree, do not use the Services. If you use the Services for an organization, you confirm that you can bind it to these Terms, and “you” includes that organization.
1. Who can use Plango
You must be at least 18 years old, or the age of majority where you live if that is older, and able to enter a binding contract. You may not use the Services if United States law or applicable sanctions prohibit you from doing so.
2. Your account
Give us accurate information and keep it current. Keep your password secret: you are responsible for activity under your account. Tell us right away if you think someone else has used it. An account and its subscription are for one person and may not be shared or resold. Each person who uses Plango, including each employee of an organization, needs their own account.
3. The Services and how they change
Plango is security software. Depending on your plan and settings, it may check your computer’s settings and installed software, watch network connections, and review or control actions that apps, AI agents, and other tools take on your computer.
We improve the Services often. We may add, change, or remove features, change system requirements, or stop offering some or all of the Services. Features marked as beta, preview, or experimental may be incomplete or change without notice. If we stop offering a paid Service entirely, we will give you reasonable notice where we can and refund any prepaid fees for the unused part of your billing period.
4. Subscriptions, billing, and automatic renewal
Some Services need a paid subscription. Before you subscribe, we show you the price, the billing period, any trial terms, and how to cancel (the “Offer Terms”). The Offer Terms you accept are part of these Terms.
SUBSCRIPTIONS RENEW AUTOMATICALLY UNTIL YOU CANCEL. When you subscribe, you authorize us to charge your payment method the subscription price shown in the Offer Terms, plus any applicable taxes, when your subscription starts and again at the start of each billing period (for example, every month for a monthly plan) until you cancel. Charges are made in advance for each billing period.
Payments are processed by our payment processor, Stripe, under its terms. We do not receive or store your full card number. If a payment fails, we or our processor may retry it, and we may suspend paid features until it succeeds. You are responsible for any taxes that apply to your purchase.
We may change subscription prices. We will email you at least 30 days before a new price applies to your subscription. The new price starts with your first billing period after that notice. If you do not want to pay it, you can cancel before it takes effect. Promotional prices and codes are subject to the terms shown with them.
5. Free trials
We may offer free trials. Before a trial starts, we show you how long it lasts, any limits on it (for example, use on one device), and what happens when it ends. Unless the offer says otherwise, a free trial ends on its own at the end of the trial period, is limited to one per person and per device, and we may refuse or end trials we reasonably believe are being misused.
If a trial offer ever asks for a payment method and turns into a paid subscription when it ends, we will tell you that before you start it, along with the price, the date of the first charge, and how to cancel, and we will ask for your consent. You will not be charged if you cancel before the trial ends.
6. Cancellation
You can cancel at any time online from your account page by selecting “Cancel subscription,” or by contacting us at support@acrebase.com. Cancellation takes effect at the end of your current billing period: you will not be charged again, and you keep paid features until that period ends. Uninstalling or deleting the Software does not cancel your subscription.
7. Refunds
Refunds are covered by our Refund Policy. Nothing in these Terms limits a refund that the law where you live requires.
8. License to use the Software
The Software is licensed, not sold. While your trial or subscription is active and you follow these Terms, we give you a limited, non-exclusive, non-transferable, non-sublicensable, revocable license to download, install, and use the Software on one computer at a time that you own or control, for your own use, whether personal or for your work. You can move your subscription to a different computer you own or control at any time by signing in to the Software there and signing out on the old one. The license is for you alone: it does not cover computers used by other people, even if you or your employer own them.
You may not, and may not help anyone else to:
- copy, modify, or make derivative works of the Software, except as needed to use it as intended;
- reverse engineer, decompile, or disassemble the Software, except where the law allows it despite this restriction;
- rent, lease, sell, resell, sublicense, or distribute the Software or access to the Services;
- get around license checks, trial or device limits, or any security feature of the Services;
- extract or redistribute models, rules, or data that come with or are downloaded by the Software, except as an open-source license that applies to that component allows; or
- remove or change any proprietary notices.
The Software may check for, download, and install updates, model files, and security data automatically. Some updates may be required to keep using the Services. Open-source components included in the Software are licensed under their own licenses, and nothing in these Terms limits your rights under those licenses.
9. Acceptable use
Use the Services only lawfully and only on computers, networks, and accounts that you own or are authorized to manage. Do not:
- use the Services to monitor, access, or interfere with anyone else’s device, data, or activity without their authorization;
- probe, attack, overload, or disrupt our systems, or access them other than through the interfaces we provide;
- use the Services to develop or test malware, or to find ways around security products;
- misrepresent your identity, or create accounts in bulk or by automated means; or
- use the Services in a way that breaks the law or infringes anyone’s rights.
10. Important information about security software
NO SECURITY PRODUCT CAN FIND OR STOP EVERY THREAT. Plango uses automated rules, heuristics, threat data from third parties, and machine learning models. It can miss real threats, and it can flag or block legitimate software, websites, connections, or actions.
Depending on your settings and the features you use, Plango may block or allow network connections, pause or stop actions requested by apps or AI agents, ask you to approve actions, add hooks to your shell and to your AI tools’ settings and keep them in place while protection is on, change settings on your computer or in your AI tools’ configuration, or recommend changes for you to make. These actions can interrupt other software or your work. Review what Plango does and set it up the way you want.
You remain responsible for:
- the security of your computer, accounts, credentials, and data, including keeping your own backups;
- the AI agents and other tools you choose to run, the instructions you give them, and the actions they take, whether or not Plango reviews, allows, warns about, or misses those actions; and
- the decisions you make, including approving or denying actions when Plango asks.
Plango helps you supervise AI agents. It does not make them safe and does not take responsibility for what they do. Findings, explanations, and recommendations from Plango, including text generated by AI models, may be incomplete or wrong, and are not professional security, legal, or compliance advice. Plango is not a substitute for other good practices, such as installing updates, using strong and unique passwords, and keeping backups. Do not rely on Plango where a failure could lead to death, personal injury, or severe physical or environmental damage.
11. Your content and your data
Your files, prompts, code, and other content (“Your Content”) belong to you. We do not claim any ownership of it. Our Privacy Policy explains what Plango processes on your device and what, if anything, it sends to us or to others. We do not use Your Content to train artificial intelligence or machine learning models. If you send us Your Content, for example in a support request, you allow us to use it only to provide and support the Services for you, as the Privacy Policy describes.
12. Third-party services
The Services work with third-party software and services, such as AI coding tools, AI model providers you choose to connect, browsers, and package managers, and use third-party data, such as vulnerability databases and blocklists. We do not control third parties and are not responsible for their services or data, which are governed by their own terms. If you connect a third-party AI provider with your own account or API key, what you send through that connection is handled by that provider under its terms, and you are responsible for its charges.
13. Feedback
If you send us ideas or suggestions, we may use them without any obligation to you.
14. Our rights
We and our licensors own the Services, including the Software, models, website, and the Plango name and logos. Except for the license in Section 8, these Terms do not give you any rights in them.
15. Suspension and termination
You can stop using the Services at any time. Cancel your subscription as described in Section 6 to stop future charges. We may suspend or end your access if you break these Terms, if we must to comply with the law, or to prevent fraud, abuse, or harm to you, us, or others. Where reasonable, we will tell you in advance. If we end your subscription for reasons other than your breach, we will refund prepaid fees for the unused part of your billing period. When your access ends, your license ends and you should uninstall the Software from its settings. Until you do, some parts of it installed on your computer, such as hooks in your shell or AI tools and network filters, may keep running. Sections 10 through 21 continue to apply after your access ends.
16. Disclaimer of warranties
TO THE FULLEST EXTENT THE LAW ALLOWS, THE SERVICES ARE PROVIDED “AS IS” AND “AS AVAILABLE,” WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICES WILL DETECT, PREVENT, OR REMOVE ALL THREATS, VULNERABILITIES, OR HARMFUL ACTIONS; THAT THEY WILL BE UNINTERRUPTED, TIMELY, OR ERROR-FREE; OR THAT THEY WILL NOT INTERFERE WITH OTHER SOFTWARE OR CAUSE LOSS OF DATA. Some places do not allow these exclusions, so some of them may not apply to you.
17. Limitation of liability
TO THE FULLEST EXTENT THE LAW ALLOWS: (A) NEITHER WE NOR OUR SUPPLIERS WILL BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR FOR ANY LOSS OF PROFITS, REVENUE, DATA, OR GOODWILL, ARISING OUT OF OR RELATING TO THE SERVICES OR THESE TERMS, INCLUDING DAMAGES CAUSED BY A SECURITY INCIDENT, MALWARE, OR AN AI AGENT’S ACTIONS THAT THE SERVICES DID NOT DETECT OR PREVENT; AND (B) OUR TOTAL LIABILITY FOR ALL CLAIMS ARISING OUT OF OR RELATING TO THE SERVICES OR THESE TERMS WILL NOT EXCEED THE GREATER OF THE AMOUNT YOU PAID US FOR THE SERVICES IN THE 12 MONTHS BEFORE THE EVENT GIVING RISE TO THE CLAIM, OR US $50. These limits apply whatever the legal theory and even if we were told the damage was possible. They do not apply to liability that the law does not allow us to limit.
18. Indemnity
To the extent the law allows, you will defend and indemnify us against third-party claims, and related costs, that arise from your breach of these Terms, your violation of the law, or your misuse of the Services.
19. Governing law and disputes
These Terms are governed by the laws of the Commonwealth of Pennsylvania and applicable United States federal law, without regard to conflict-of-law rules.
Before starting a formal dispute, please contact us at legal@acrebase.com and describe the issue. We will try to resolve it informally within 60 days.
Any dispute will be decided only by the state or federal courts located in Philadelphia County, Pennsylvania, and you and we agree to their personal jurisdiction. Either of us may bring an individual claim in small claims court. Nothing in these Terms takes away protections you have under consumer protection laws of the place where you live that cannot be waived by contract.
20. Changes to these Terms
We may update these Terms. If a change is material, we will tell you by email, in the Software, or on our website at least 30 days before it takes effect, unless the change is required by law or fixes a security issue, in which case it may take effect sooner. Changes do not apply to disputes that arose before they took effect. If you keep using the Services after a change takes effect, you accept the updated Terms. If you do not agree, cancel before then.
21. General
These Terms, including the Offer Terms, Privacy Policy, and Refund Policy, are the entire agreement between you and us about the Services. If a court finds part of them unenforceable, the rest stays in effect. If we do not enforce a provision, we have not waived it. You may not transfer these Terms without our consent; we may transfer them as part of a merger, acquisition, or sale of assets, or to an affiliate. We are not responsible for delays or failures caused by events beyond our reasonable control. You agree that we may send you notices and other communications electronically, by email or in the Services. You must comply with United States export control and sanctions laws when using the Software.
22. Notice to California users
Under California Civil Code Section 1789.3, California users may contact the Complaint Assistance Unit of the Division of Consumer Services of the California Department of Consumer Affairs in writing at 1625 North Market Blvd., Suite N 112, Sacramento, California 95834, or by telephone at (800) 952-5210.
